GENERAL PROVISIONS
This User Agreement (hereinafter referred to as the Agreement) is a document that contains the rules and terms of provision and use of services of the www.Gatewayturkiye.com website (hereinafter referred to as the GT) for the exchange of information about the products and services available on the Website between Sellers and Buyers.
The terms and conditions contained in this Agreement shall govern the User’s use of the Website’s services, software, and products (hereinafter – the &Services). This Agreement and other similar
rules and policies of the Websites are hereinafter collectively referred to as the Terms and Conditions.
Each Buyer or Seller (hereinafter shall be referred to as the User) must read the Terms and Conditions of the Website before registering on it. The use of the Website shall mean the User’s full and unconditional acceptance and compliance with the Terms and Conditions of the Agreement. Because the Terms and Conditions contain legal obligations, please read them carefully

TERMS OF SERVICE
1.ACCEPTANCE
By using the Products and Services, you agree, without limitation or qualification, to be bound by, and to comply with, these Terms and Conditions and any other posted guidelines or rules applicable to any individual website, Product or Services.
2.CONDITIONS AND RESTRICTIONS ON USE
Use of the Products and Services is subject to compliance with these Terms and Conditions. The User acknowledge and agree that GATEWAYTURKIYE may terminate your access to gatewayturkiye.com or to any of the Products and Services should you fail to comply with the Terms and Conditions. Any such termination shall be in GT sole discretion and may occur without prior notice, or any notice. 

GT further reserves the right to terminate any user’s access to gatewayturkiye.com or to any of the Products and Services for any conduct that GT, in its sole discretion, believes is or may be directly or indirectly harmful to other users, to gatewayturkiye.com or its subsidiaries, affiliates, or business contractors, or to other third parties, or for any conduct that violates any local, or foreign laws or regulations.
3.REGISTRATION
Some of the Products and Services will require the user to register and provide additional data. In consideration of use of such Products and Services, in registering and providing such data, you represent and warrant that:

(a) the information about yourself is true, accurate, current, and complete (apart from optional items) as required by GT registration forms (Registration Data) and (b) you will maintain and promptly update the Registration Data to keep it true, accurate, current,
and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, GT has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, GT has the right to suspend or terminate your account and refuse any and all current or future use of the Products and Services.  (c) If you are an individual, you must be 18 years or older to use the GT services and by registering, you represent that you are 18 years or older. We may require at any time that you provide evidence of your age.
4.MEMBER AND USER CONDUCT
Upon registering, you are responsible for maintaining the confidentiality of the login, username and password, and are fully responsible for all activities that occur under your login. You agree to:
(a)immediately notify GT of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. GT cannot and will not be liable for any loss or damage arising from your failure to comply with this requirement. 
The user acknowledges and agree that all information, code, data, text, software, music, sound, photographs, pictures, graphics, video, chat, messages, files, or other materials (Content), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not GT, are entirely responsible for all Content that you upload, post, email or otherwise transmit via the Services. GT does not control the user or third- party Content posted via the Products and Services, and, as such, does not guarantee the accuracy, integrity or quality of such user or third-party Content. Under no circumstances will GT be liable in any way for any user or third-party Content, including, but not limited to, for any errors or omissions in any such Content, or for any loss or damage of any kind incurred as a result of the use of any such Content posted, emailed or otherwise transmitted via the Products and Services. The user will notify GT if error, incorrect data, or any other content that is inaccurate, the user will inform GATEWAYTURKYE immediately. GT will take relevant action to correct the issue.
5. TERMS OF WEBSITE USE
5.1. The GT provides electronic Pages for the exchange of information about the products and services available on the Website between Sellers and Buyers. GT additionally provides the electronic deal-making Pages to the Users for placing, negotiating, concluding, managing, and executing the orders for the provision of products and services. GT does not control and is not responsible for the quality, delivery, safety, legality, or availability of products or services offered for sale on Gatewayturkiye.com.
5.2. It is prohibited to place or sell any products and provide services if they are subject to restrictions and prohibitions stipulated in the legislation of the Republic of Turkey or in other countries at the location of the Buyer and/or Seller.
6. ORDER EXECUTION PROCEDURE. PAYMENT FOR THE PRODUCTS
6.1. The User’s order can be placed by the User independently by filling out the order form on the Website. When performing such actions, the User automatically acquires the status of a Buyer.
6.2. After placing an order, the Buyer receives a confirmation email from GT indicating the assigned order number, the amount to be paid, and information about the expected delivery time of the order.
The deadlines for receiving the order by the Buyer depend on the Buyer’s agreements with the Seller (supplier), the address and region of delivery, the chosen Delivery Service or shipping company, and do not depend directly on GT.
6.3. The Buyer pays according to the payment terms agreed to the current account specified in the notification. Methods of payment for the products are specified on the Website in the Payment terms section.
6.4. The order is accepted by the GAEWAYTURKIYE for processing only after the amount agreed is paid by the Buyer and is credited to the current account of GT.
6.5. GT sends a notification about the shipment of the order to the Buyer. In order to receive the ordered products, the Buyer shall present the necessary information or the documents to the representative of the Delivery Service. The deadline for submitting claims to the GT regarding the quality, timing and order execution is 7 (seven) days from the date (inclusive) of actual delivery of the entire order to the Buyer. Upon expiration of the claim period, funds are transferred to the Seller’s account.
6.6. If the Buyer discovers that the order does not meet the requirements specified in the order form within the period specified in clause 6.5. of this Agreement, then the Seller must make every effort to eliminate these violations. If it is confirmed that these violations occurred due to the fault of the Seller, the latter undertakes to eliminate the detected violations at its own expense. Otherwise, the Buyer has the right to return the received products at their own expense, and GT will return the money to the Buyer, but will withhold bank commissions.
6..7 The price of the product is indicated on Gatewayturkiye.com by the Seller. The final price of the product is negotiated between the Buyer and the Seller and must be displayed in the order form.
6.8. The price of the product on Gatewayturkiye.com can be changed by the Seller unilaterally (promotions, discounts, etc.). In this regard, the price agreed on the order form cannot be changed.
6.9. GT confirms that it acts to facilitate the Buyer and the Seller to execute the order, namely: the quality of the products and their compliance with the description. GT can offer third-party Quality Assurance agents to check and verify goods as ordered by the buyer. GT strongly recommends the use of QC agents provided by GT third-parties or use its own agents. GT is not responsible for checking the quality and goods against the order by the buyer, and cannot be held responsible for the quality, quantity, guarantees, warranty of products, not limited to. The buyer accepts full responsibility and liability and all costs and losses associated with the order. If a QC agent or agency is used and the Seller has not fulfilled its obligations under the agreement between the Buyer and the Seller, GT will return the amount of payment for the deal to the Buyer in accordance with the rules specified in the Terms of Payment and Refund
PLACEMENT OF THE ORDER
3.1. After passing the registration and moderation procedure on the Gatewayturkiye.com, the Seller places the offered range of products on the Gatewayturkiye.com.
3.2. The price of the product is indicated on the Gatewayturkiye.com by the Seller. The final price of the product is negotiated between the Buyer and the Seller and must be displayed in the order form and in the purchase/sale agreement.
3.3. The price of the product on the Gatewayturkiye.com can be changed by the Seller unilaterally (promotions, discounts, etc.).
3.4. The Seller receives a request form completed by the Buyer and a notification of receipt of the order. The funds received from the Buyer to the account of GT are displayed in the Seller’s personal account. From the moment of receipt of funds, the Seller undertakes to manufacture and or ship the product within the deadlines agreed with the Buyer.
3.5. The risk of accidental loss or damage to the product shall pass to the Buyer from the moment the product is transferred to the Delivery Service or shipping company. In the case of non-delivery or in case of discrepancy between the requirements on the quality of the product described in the agreement between the Buyer and the Seller, the GT shall reimburse the Buyer the cost of the paid order amount according to the terms of payment and refund (minus cost incurred by GT) and in case the consensus with the Seller was not found through negotiations. In all other cases, GT is not responsible for the delivery of the order and the quality of the order.
7. DELIVERY
7.1. The methods and cost of delivery of the products are independently negotiated between the Seller and the Buyer or GT at the stage of placing an order.
7.2. The risk of accidental loss or damage to the product shall pass to the Buyer from the moment the product is transferred to the Delivery Service.
7.3. The deadlines set by GT for the User to receive an order from the Delivery Service is limited and is specified when placing the order, at the stage of choosing the appropriate delivery method.
7.4. After the Buyer or shipping company confirms delivery of the product to GT, the deal is deemed to have been completed, or after the deadline for submitting claims in accordance with clause 6.5. of this Agreement, the deal is considered completed.
8. LICENSE TO MEMBER WEB PAGES AND OTHER USER CONTENT
By submitting a web page to GATEWAYTURKIYE.COM, or any other web page hosting service on GATEWAYTURKIYE.COM, you grant GATEWAYTURKIYE.COM a world-wide, royalty-free, nonexclusive, worldwide, unrestricted license to use, copy, transmit, publicly display, publicly perform, create compilations including, and distribute such web page, and any associated Content. For the limited purposes of publishing and promoting the user’s web page in connection with the service with which the user has chosen to have the web page hosted and for publishing and promoting such web page elsewhere within GT.COM. Such license shall apply with respect to any form, media, or technology now known or later developed. The term of the license will extend only for the duration of the user's membership with the particular GATEWAYTURKIYE.COM service. You acknowledge and agree that GATEWAYTURKIYE.COM runs advertisements on the web pages of its users and grant GATEWAYTURKIYE.COM the right to do so. These advertisements may include, without limitation, banner advertisements and pop-up text advertisements. The manner, mode, and extent of such advertising is subject to change.
9. Limitation of liability 
Notwithstanding any other provision of these Terms of Use, the maximum cumulative liability of all of Gatewayturkiye.com and their licensors, dealers, distributors, representatives, agents, directors, officers or employees, or third parties (if any) involved in the creation, production or delivery of this Website or any of the Overall Content, in respect of all Liabilities under, arising out of or in connection with these Terms of Use and the provision of this Website and the Overall Content, shall in no event exceed in the aggregate the sum of one hundred US Dollar (US$100) only, whether in contract, (including negligence or breach of statutory duty) or otherwise, or for any loss, damage or liability whatsoever.
No endorsement of third parties
Without prejudice to Clause 9, Gatewayturkiye.com and TIMP LLC do not endorse or make any representation or warranty whatsoever (whether express, implied or statutory), and shall not be responsible or liable under any circumstances
whatsoever, in respect of:-

1. any third party website hyperlinked to this Website, or any information, data, instructions, functionalities, features, services, products or other content offered or provided in or through such third party website;
2. without prejudice to the generality of the foregoing any Third Party Content. Such third party websites, third party information, data, instructions, functionalities, features, services, products or other content (whether provided or offered in or through such third party websites or in or through this Website) and Third Party Content are the sole responsibility of independent third parties and are not under the control of Gatewayturkiye.com and as against Gatewayturkiye.com and/or other relevant members, Users’ access and/or use thereof and/or reliance thereon is solely at such Users’ own risk (and Users are advised not to act and/or rely thereon without first independently verifying the same).

In no event shall the GT establish or be required to establish any such agreement or terms with such User.
b. Without prejudice to the generality of Clause 8.a above:-
1. a description or reference to a product or service in this Website (including any description or reference via hyperlink) does not imply endorsement by Gatewayturkiye.com of that product or service;
2. Gatewayturkiye.com do not make any representation or warranty as to the quality, accuracy, reliability, currency, suitability or lack of defects or deficiencies of any third party websites, third party information, data, instructions, functionalities, features, services, products or other content (whether provided or offered in or through such third party websites or in or through this Website) and Third Party Content;
3. Gatewayturkiye.com shall not be liable or responsible for any defects, deficiencies, errors, omissions or inaccuracies or any delays, defamation, libel, slander, misrepresentation, falsehood, obscenity, pornography, profanity, or any other objectionable, offensive, indecent or illegal material contained in any third party websites, third party information, data, instructions, functionalities, features, services, products or other content (whether provided or offered in or through such third party websites or in or through this Website) and Third Party Content; and
